Terms of Service

1 Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you ("you" or "your") and UnitStacks. Your continued use of the Services after any modifications to these Terms constitutes acceptance of those changes.

2 Description of Service

UnitStacks provides a unified property management platform consisting of the following products:

• UnitStacks Core: Central dashboard for property portfolio management, user administration, role-based access control, and AI configuration
• TransitionTrack: Property onboarding and transition management with AI-powered checklists, team coordination, and automated workflows
• PostFolio.ai: AI-powered social media content generation, template building, bulk content creation, and multi-platform publishing for property portfolios
• Tidua: AI-driven document classification, auditing, and compliance management for property documentation
• CampusIQ: Market intelligence and analytics platform for student housing investment analysis, enrollment tracking, and competitive positioning
• Quorum: Executive operations dashboard providing portfolio-wide visibility, workstream tracking, and leadership reporting across the UnitStacks ecosystem

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes.

3 Accounts

Registration

To access most features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

Authentication

UnitStacks uses Microsoft Single Sign-On (SSO) as the primary authentication method. By using our Services, you agree to authenticate through your organization's Microsoft identity provider. You are responsible for maintaining the security of your Microsoft account credentials.

Account Security

• You are responsible for all activity that occurs under your account
• You must immediately notify UnitStacks of any unauthorized use of your account
• You may not share your account with any other person or entity
• UnitStacks is not liable for any loss arising from unauthorized use of your account

Organization Accounts

If your account is part of an organization, the organization administrator may have the ability to access, modify, or restrict your account. Your use of the Services may be subject to your organization's own policies in addition to these Terms.

4 Subscription & Billing

Plans

The Services are offered under various subscription plans, each with different features, limitations, and pricing. Details of current plans are available on our pricing page.

Free Trials

We may offer free trial periods. During a free trial, you can access certain features at no cost. At the end of the trial, your account will automatically transition to the free tier unless you select a paid plan. We will not charge you without your explicit consent.

Payment

• Fees are charged on a per-property, per-month basis as specified in your selected plan
• All fees are non-refundable unless otherwise stated or required by law
• We may change our fees upon 30 days' prior notice; continued use constitutes acceptance of new fees
• You are responsible for all applicable taxes

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of your billing period.

5 AI Features

Several of our products incorporate artificial intelligence features. By using AI-powered features, you acknowledge and agree to the following:

AI-Generated Content

• AI-generated content (including social media posts, document classifications, market signals, and task recommendations) is provided as suggestions and should be reviewed before use
• UnitStacks does not guarantee the accuracy, completeness, or suitability of AI-generated content
• You are solely responsible for reviewing and approving any AI-generated content before publishing or acting upon it
• AI outputs may occasionally contain errors or inaccuracies; human oversight is required

AI Data Processing

• AI features process your data in real-time and do not retain data beyond the immediate processing session
• Your data is not used to train or fine-tune AI models
• AI processing is performed through third-party providers (e.g., Anthropic Claude, OpenAI) subject to their respective terms

API Keys

Professional and Enterprise plans allow you to configure your own AI API keys through the UnitStacks AI Gateway. You are responsible for managing your API keys, associated costs, and compliance with the AI provider's terms of service. UnitStacks stores API keys securely with encryption but is not liable for charges incurred through your API key usage.

6 Intellectual Property

UnitStacks IP

The Services, including all software, designs, text, graphics, interfaces, and underlying technology, are owned by UnitStacks and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your business purposes during the term of your subscription.

Restrictions

• You may not copy, modify, distribute, sell, or lease any part of the Services
• You may not reverse engineer, decompile, or disassemble the Services
• You may not use the Services to build a competing product
• You may not remove or alter any proprietary notices or labels

Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant UnitStacks a non-exclusive, royalty-free, worldwide, perpetual license to use and incorporate such feedback into our products without obligation to you.

7 User Content

You retain ownership of all content you upload, create, or transmit through the Services ("User Content"), including property data, documents, images, and social media content.

License Grant

By uploading User Content, you grant UnitStacks a limited license to host, store, process, and display your content solely for the purpose of providing and improving the Services. This license terminates when you delete your content or close your account.

Your Responsibilities

• You represent that you own or have the right to use all User Content
• You are responsible for the legality and appropriateness of your User Content
• You must not upload content that infringes third-party rights, is unlawful, or violates these Terms
• Social media content published through PostFolio.ai is subject to the terms of the respective social media platforms

8 Prohibited Uses

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit malicious code, viruses, or any harmful software
• Attempt to gain unauthorized access to any part of the Services or other users' accounts
• Interfere with or disrupt the integrity or performance of the Services
• Use automated means (bots, scrapers, crawlers) to access the Services without authorization
• Circumvent or manipulate rate limits, security features, or access controls
• Impersonate any person or entity, or misrepresent your affiliation
• Use the Services for any purpose that is fraudulent, deceptive, or harmful
• Resell, sublicense, or redistribute the Services without prior written consent
• Use AI features to generate content that is misleading, defamatory, or violates fair housing laws

9 Termination

By You

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Services ceases immediately.

By UnitStacks

We may suspend or terminate your access to the Services at any time, with or without cause, including if we reasonably believe you have violated these Terms. We will make reasonable efforts to provide notice before termination, except in cases of severe violations.

Effect of Termination

• All licenses granted to you under these Terms will immediately cease
• You must promptly cease all use of the Services
• We will retain your data for 30 days after termination, during which you may request an export
• After the 30-day retention period, your data will be permanently deleted
• Sections of these Terms that by their nature should survive termination will remain in effect

10 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE
• UNITSTACKS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• UNITSTACKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
• UNITSTACKS'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11 Indemnification

You agree to indemnify, defend, and hold harmless UnitStacks, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your User Content, including any content published through PostFolio.ai
• Your violation of any third-party rights or applicable law
• Your use or misuse of AI-generated content

12 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English and the arbitrator's decision shall be final and binding.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

13 Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Post the updated Terms on our website with a revised "Last updated" date
• Notify you via email or in-product notification at least 30 days before material changes take effect
• Provide a summary of key changes

If you do not agree to the modified Terms, you must stop using the Services before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.
